Terms of service
These terms govern your use of DealFlow. The most important thing in them to know in short is this: DealFlow is a marketplace and software platform, we are not a broker, we do not act for either side of a transaction, and we publish nothing that is legal, tax, accounting or investment advice.

Who we are, and what these terms cover
DealFlow is operated by Tanormsak Legal & Accounting Co., Ltd., a company incorporated in Thailand with its registered office at No. 50, Soi Phatthanakan 64, Prawet Subdistrict, Prawet District, Bangkok 10250, Thailand. In these terms, "DealFlow," "we" and "us" mean that company; "you" means the person or organisation using the platform.
These terms form a binding agreement between you and us. They apply whenever you browse the site, create an account, publish or respond to a listing, use the valuation tool, request confidential information, or contact us through the platform.
If you do not accept these terms, please do not use DealFlow.
If you accept DealFlow on behalf of a company or partnership, you confirm that you are authorised to accept these terms for it, and "you" means both you personally and that organisation.
What DealFlow is — and what it is not
DealFlow is a marketplace and software platform. We host anonymised listings of businesses for sale, we operate tools such as the valuation calculator and the readiness assessment, and we provide a controlled disclosure mechanism through which a seller can release confidential information to a buyer they have separately vetted.
We are not a broker, agent, dealer or intermediary in any transaction arranged through the platform. We do not represent the seller or the buyer, we do not negotiate on anyone's behalf, and we do not take a commission on a transaction unless we have separately signed a written mandate with you that says so.
We do not provide legal, tax, accounting, valuation or investment advice. Nothing on this site — including the valuation tool, the insights library, the glossary and any figure or benchmark we publish — is advice, an offer, a recommendation, or a professional opinion. Take your own advice before you commit to anything.
We are not a party to any agreement you reach with a counterpart you meet here. Every non-disclosure agreement, letter of intent, share purchase agreement or asset transfer is between you and them, and its performance is a matter between you and them.
Your account
You must be at least 20 years old and legally capable of entering into a binding contract. The information you give when you register must be accurate, and you must keep it up to date.
You are responsible for everything that happens under your account. Keep your password secret, do not share access, and tell us immediately at info@dealflowmarket.com if you believe someone else has used your credentials.
Accounts are personal. You may not sell, rent or transfer an account, and you may not create an account using someone else's identity.
We may suspend or close an account that breaches these terms, that we reasonably suspect is being used fraudulently or to circumvent a seller's confidentiality controls, or where we are required to do so by law.
Listing a business
You may only list a business that you own, or that you are authorised in writing to offer for sale. If you are an adviser acting for an owner, say so — we ask you to identify the relationship.
The information in your listing must be accurate and not misleading, including by omission. Financial figures must relate to the periods you state. You remain responsible for the accuracy of your listing at all times.
The public part of a listing is anonymous by design. Do not put your company name, address, registration number, website or contact details into fields that are published publicly; they belong in the confidential section, which is stored separately.
We review listings before publication for completeness and plausibility, and we may come back to you with questions. That review is not verification, an audit, or an endorsement of the business — we use our verification badge for exactly what the badge states and means. We may decline to publish, request changes, pause or remove a listing.
Keep the listing current. If a headline figure turns out to be materially wrong, correct it. If the business goes under offer or is sold, update the status. If you withdraw from the market, withdraw the listing.
You grant us a non-exclusive, royalty-free licence to store, reproduce and display your listing content on the platform, and to show it in search engine results, for as long as the listing is published. You keep ownership of that content.
Confidential information and non-disclosure agreements
Confidential information about a listing — the company identity, the contact details, the full financial statements and any data-room documents — is released only to a buyer once the seller has individually approved it, after a non-disclosure agreement has been recorded against that listing.
That NDA is an agreement between the seller and the buyer. We provide the mechanism, record that it was signed, and log which confidential documents were opened and when. We are not a party to it and we do not enforce it on a seller's behalf.
If you are granted confidential access, you may use the information only to evaluate that specific opportunity. You must not copy or distribute it, use it to compete, or approach the business's staff, customers or suppliers on the strength of it.
Access may carry an expiry date and can be revoked by the seller at any time. Revocation takes effect immediately; it does not retrospectively erase information you have already seen, which is precisely why the NDA matters.
Separately from these terms, confidential business information may be protected as a trade secret under the Trade Secrets Act B.E. 2545. Misuse can carry civil and criminal consequences under Thai law.
If you are a buyer
Listing information is supplied by the seller. We do not independently verify it unless the listing carries a badge stating that we did — and each badge states its own limits.
You are responsible for your own due diligence, your own valuation, and your own professional advice. Do not treat anything on a listing page, or any output of the valuation tool, as a substitute for either.
You must not use the platform to harvest contact details, to market unrelated products or services to sellers, or to build a competing database of businesses for sale.
Acceptable use
When using DealFlow you must not: - publish anything false, misleading, defamatory, or that infringes someone else's rights; - impersonate another person or organisation, or misstate your authority to act for one; - attempt to identify an anonymous seller by any means other than the access process on the platform; - scrape, crawl, bulk-download or otherwise systematically extract listings or user data; - probe, scan or test the security of the platform, or attempt to bypass any access control; - upload malware, or anything designed to interfere with the platform or another user; - use the platform for money laundering, sanctions evasion, or any other unlawful purpose.
Fees
Browsing the marketplace, creating an account, and publishing a standard listing are free unless we tell you otherwise.
Any paid service is charged only on terms agreed with you in writing.
We will never charge a success fee on a transaction without a signed mandate.
Where fees apply, they are stated exclusive of value added tax and any withholding tax, which are added or deducted as Thai law requires.
Intellectual property
The platform itself — the software, the design, the DealFlow name and marks, the valuation methodology and our editorial content — belongs to us or our licensors. Nothing in these terms transfers any of it to you.
Your listing content, your documents and your data remain yours. The licence you give us in the listing section above is limited to running the platform.
You may not reproduce, republish or resell any substantial part of the marketplace database.
Availability of the platform
We work to keep DealFlow available and accurate, but we do not provide uninterrupted or error-free service. Maintenance, third-party outages and events outside our control will occasionally interrupt it.
We may add, change or withdraw features. Where a change materially reduces a paid service you have already bought, we will tell you and, if you prefer, refund the unused portion.
Liability
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, for wilful misconduct, or for death or personal injury caused by our negligence.
Subject to that, we are not liable for: the acts, omissions or solvency of any counterpart you meet through the platform; the accuracy or completeness of information supplied by a seller or a buyer; the outcome, price or terms of any transaction; or any decision you take on the strength of the valuation tool or our editorial content.
We are not liable for indirect or consequential loss, or for loss of profit, loss of opportunity, lost or anticipated savings, business interruption, or loss of goodwill or reputation, however caused.
Our total liability to you arising out of or in connection with these terms, in any twelve-month period, is limited to the greater of the fees you paid us in that period and THB 10,000.
Your indemnity to us
You will indemnify us against claims, losses and reasonable costs arising from the content you publish on the platform, from your breach of these terms, or from your breach of a non-disclosure agreement recorded through the platform.
Ending this agreement
You may close your account at any time from your account settings, or by writing to info@dealflowmarket.com.
We may suspend or end your access if you materially breach these terms, and immediately where the breach puts another user's confidential information at risk.
When an account closes, published listings are unpublished. Some records are retained afterwards — for example, records of NDAs, access grants and transactions — because we are required to keep them or may need them to defend a legal claim. Our privacy policy explains for how long.
Governing law and disputes
These terms, and any dispute arising out of or in connection with your use of the platform, are governed by the laws of the Kingdom of Thailand.
If something goes wrong, contact us first — most issues are resolved faster that way. If we cannot resolve it, the courts of Thailand have exclusive jurisdiction.
These terms are published in English and Thai. The two versions are intended to say the same thing; where they do not, the Thai version prevails for users in Thailand.
Changes to these terms
We may update these terms. Where a change materially affects your rights we will give you at least 14 days' notice by email or by a notice on the site, unless a shorter period is required by law.
Continuing to use DealFlow after a change takes effect means you accept the updated terms. The "last updated" date at the top of this page is the authoritative version marker.
